Teacher Employment Policy & Code of Conduct (Contract-Style)

1. Definitions

For the purpose of this document:

  • Company refers to CognitiaGlobal Schools Pvt Ltd.
  • Teacher refers to any individual engaged by the Company for teaching services, whether full-time, part-time, or contractual.
  • Students refers to all learners enrolled under Company programs.
  • Platform refers to any online or digital learning environment used by the Company.

2. Nature of Engagement

The Teacher is engaged as an independent professional/contractual educator unless otherwise specified in a written agreement. This document constitutes binding employment terms in addition to any signed contract. The Company reserves the right to modify terms with prior notice.

3. Professional Conduct & Ethical Standards

  • The Teacher shall maintain the highest standards of professionalism, integrity, and respect at all times.
  • Personal communication with students outside academic purposes is strictly prohibited.
  • The Teacher shall not engage in any discussion related to nationality, religion, caste, creed, political views, language bias, family background, or personal contact information.
  • Any form of harassment, abusive language, provocation, anger-driven behaviour, or inappropriate expression is strictly prohibited.
  • Body shaming, discrimination, or comments on physical appearance are strictly forbidden.
  • The Teacher shall not disclose internal salary structures, contracts, or confidential Company matters to students or external parties.

4. Academic Integrity & Teaching Standards

  • The Teacher shall prepare and deliver original instructional materials.
  • Only Company-approved or Teacher-created materials may be used.
  • Use of copyrighted or third-party materials without authorization is strictly prohibited.
  • All materials created during employment shall automatically become the exclusive intellectual property of the Company.
  • The Teacher is required to correct instructional errors promptly in subsequent sessions.
  • One structured board-pattern examination shall be conducted monthly for academic evaluation.

5. Class Conduct & Digital Discipline

  • The Teacher shall join all sessions at least 10 minutes prior to scheduled commencement.
  • Classes shall be conducted in a secure, controlled digital environment.
  • Students must remain muted unless expressly permitted to speak.
  • Video must remain ON for both Teacher and Students throughout the session unless otherwise directed by the Company.
  • Meetings shall be locked within 5 minutes of commencement.
  • Student-to-student communication during sessions is strictly prohibited.

6. Attendance, Monitoring & Records

The Teacher shall maintain accurate attendance records for every session. Attendance and participation data must be submitted as required by the Company. The Company reserves the right to audit attendance and performance records at any time.

7. Recording, Ownership & Intellectual Property

All classes shall be recorded by the Teacher and/or the Company. The Teacher must maintain a minimum of 10 recorded classes for review and compliance. All recorded content, teaching materials, slides, and assessments are the exclusive property of the Company. The Teacher irrevocably waives any ownership rights over such materials.

8. Reporting Obligations

The Teacher shall submit weekly academic and performance reports. Any behavioural, disciplinary, or safeguarding concerns must be reported immediately to the Company. Direct solicitation or canvassing of Company students for private tuition or external services is strictly prohibited.

9. Exclusivity & Employment Restrictions

  • The Teacher shall not engage with competing online education platforms without prior written consent from the Company.
  • Teachers may be assigned up to two curricula or geographic regions, subject to approval.
  • Teachers are prohibited from working on IB and Singapore Cambridge online teaching platforms for a period of three (3) years after termination of engagement.
  • Teachers may engage in physical school employment after leaving the Company.

10. Termination & Notice Period

  • Either party may terminate engagement with a minimum notice period of two (2) months, unless otherwise stated in contract.
  • In the case of crash courses, early termination by the Teacher shall require repayment of twice the remuneration received for the course duration.
  • The Company reserves the right to terminate engagement immediately in cases of misconduct, breach of policy, or professional negligence.

11. Work Environment Requirements

The Teacher shall ensure appropriate devices, stable internet, and uninterrupted power supply during classes. Classes must be conducted from a quiet, professional, and disturbance-free environment. Formal professional attire is mandatory during teaching sessions.

12. Student Rights & Company Authority

The Company reserves the right to admit students under scholarship or freeship programs at its discretion. Students may request a change of Teacher, subject to Company approval and review.

13. Confidentiality & Non-Disclosure

The Teacher shall maintain strict confidentiality regarding Company operations, policies, materials, and internal communications. No Company information shall be shared with external parties without written authorization.

14. Compliance & Enforcement

Any violation of this policy shall constitute grounds for disciplinary action, including suspension or termination. The Company reserves the right to seek legal remedies for breach of contract, confidentiality, or intellectual property rights. These terms are binding and enforceable under applicable governing law.

15. Severability

If any provision of this document is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Annexure A: Teacher Employment Agreement (Template)

This Employment Agreement (“Agreement”) is executed between CognitiaGlobal Schools Pvt Ltd (“Company”) and the undersigned Teacher (“Teacher”).

  1. Appointment - The Company hereby appoints the Teacher as an academic instructor subject to the terms and conditions outlined in this Policy and any additional written agreement between the parties.
  2. Acceptance of Policy - By signing this Agreement, the Teacher confirms that they have read, understood, and agree to comply with the Company’s Teacher Employment Policy & Code of Conduct, which forms an integral part of this Agreement.
  3. Duties and Responsibilities - The Teacher agrees to deliver assigned classes with professionalism and academic integrity, prepare and/or use only approved teaching materials, follow class management, attendance, and reporting requirements, and adhere to all confidentiality, discipline, and conduct rules of the Company.
  4. Compensation - Salary shall be 50% of the fee collected from the student for the respective course/classes delivered by the Teacher. Payment shall be processed according to the Company-defined settlement cycle. The Company may award performance-based bonuses at its sole discretion based on performance, contribution, and overall profitability.
  5. Intellectual Property - All teaching materials, recordings, assessments, and academic content created during the engagement shall remain the exclusive property of the Company.
  6. Confidentiality - The Teacher agrees to maintain strict confidentiality regarding all Company-related information, including but not limited to students, curriculum, internal processes, and recordings.
  7. Restrictive Covenants - The Teacher agrees not to engage with competing IB and Singapore Cambridge online platforms for a period of three (3) years after termination of this Agreement.
  8. Termination - This Agreement may be terminated in accordance with Section 10 of the Policy Document or by mutual written consent of both parties.
  9. Governing Law - This Agreement shall be governed and interpreted in accordance with applicable laws of the jurisdiction in which the Company is registered.
  10. Class Cancellation Policy - In the event of unavoidable circumstances, the Teacher must inform the Company at least two (2) hours prior to the scheduled class time. Repeated or unjustified cancellations may result in disciplinary action, including deduction of compensation or termination of contract. Emergency cancellations must be supported with valid justification and reported immediately to management.

18. Digital Acceptance & Appointment Confirmation

The Company may use digital platforms for execution, acceptance, and onboarding of this Agreement. The Teacher’s acceptance through any of the following methods shall be considered legally binding and equivalent to a physical signature:

  1. Modes of Acceptance
    • Submission of an online application form with declaration checkbox
    • Acceptance via email confirmation
    • Acceptance through LMS/platform login agreement
    • OTP-based or electronic verification confirmation
    • Digital signature (where applicable)
  2. Digital Declaration - By selecting “I Agree” or submitting acceptance through any digital medium, the Teacher confirms that they have read and understood the full Policy & Employment Agreement, voluntarily agree to be bound by all terms and conditions, and accept that this constitutes a legally binding employment agreement.
  3. Appointment Activation - Employment is considered active only after successful digital acceptance and approval by the Company. The Company reserves the right to reject or withdraw appointment at its discretion prior to activation.
  4. Record of Agreement - The Company shall maintain electronic records of acceptance, which shall be treated as valid evidence of agreement. The Teacher waives any right to dispute validity of digital acceptance solely on the basis of electronic execution.
